Corporate Structuring & Financing

Develop a strong foundation for growth.

What Is It?

If you’re starting a business, you’ve undoubtedly put a lot of thought into the product or service you’re selling. However, a successful business needs more than great ideas; it needs an organizational structure that will minimize risk and liability, protect corporate assets, and provide a strong foundation that will enable your business to prosper. Additionally, it needs a financing strategy that will provide your business the capital it needs to operate and expand without constraining cash flow or giving away equity.

Is It for Me?

Our services our critical if you’re starting a new business, growing your existing business, selling interests in your businesses, or making other critical decisions about the future of your business. We help entrepreneurs and small business owners understand the legal issues involved in decisions they are facing, and work closely with them to provide them a wide range of options to help them to achieve their goals.

What Is Involved?

At the start, we ask questions and perform research until we understand your business inside and out. We don’t just look at your business from a legal perspective—we keep digging until we determine what makes your products or services special, what the competitive landscape looks like for your business, and what success means for you as a business owner. From there, we work together with you to review strategies to maximize the potential of your business while minimizing risk, taking as much time as necessary to explain legal issues and brainstorm alternative solutions. Once we’ve decided on a strategy, we’ll work with you to put it in place, guiding you through the entire process. We’ll also meet regularly after implementation to ensure the strategy is still working, and modify it as needed to protect against new threats or take advantage of new opportunities.

What if I Do Nothing?

You can start or manage a business without using an attorney; in fact, tens of thousands of entrepreneurs do every year. However, incorporating often provides a false sense of security, which quickly goes away the first time their business is faced with a deal that goes south or an unexpected lawsuit. We provide value by not only helping you manage the risk from known problems, but also from the ones you don’t know about—which often threaten the very existence of a new business and potentially your personal assets.

Can I Do It Myself?

There are aspects of corporate structuring and financing that you can do yourself. One of the advantages of partnering with us is that we give you the option of saving money by performing some of the work yourself, especially filings with state and local agencies which aren’t particularly difficult, but not cost effective to have an attorney complete because they are often time consuming. You can be as involved as you like, or if you prefer, we can handle everything from start to finish.

How Much Will It Cost?

Every business is unique, and some will need far more extensive work than others. We understand that most businesses, especially startups, are on a budget, and we will work with you to give you the maximum value we can provide within the constraints of your budget. To help with that, we bill most of our corporate structuring and financing services as a flat rate, meaning that you’ll know up front exactly how much it will cost. The majority of projects we do in this area are in the $1,500-2,500 range.

Where Do I Start?

It’s easy to work with us. Give us a call at 704-325-9325, and we’ll schedule a time to meet over the next few weeks where we can sit down and meet each other. We’ll talk about your business, answer any questions you have, and talk about your short-term and long-term goals for your business. If you’re ready to move forward, we’ll work together to build a strategy to help you achieve those goals, building a secure and successful business.
